Terms of Service

These Terms of Service govern your access to and use of Voxt—the macOS voice input app, website, accounts, downloads, and paid plans processed through Waffo Pancake. By using Voxt, you agree to these terms.

1. Introduction & Acceptance of Terms

Welcome to GuanWei ("GuanWei," "we," "us," or "our"), an individual / sole trader operating under applicable law and doing business as Voxt. These Terms of Service ("Terms") govern your access to and use of our AI-powered services, including the Voxt macOS menu bar voice input app, website, optional accounts, download distribution, and paid features, available at https://voxt.actnow.dev (the "Service").

By creating an account, downloading the app, subscribing to any plan, purchasing paid access, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

2. Description of the Service

2.1 Services we provide

Voxt provides a local-first AI voice input platform for macOS that lets users hold a shortcut to dictate, clean up transcription, translate speech or selected text, rewrite or generate text from voice instructions, and apply per-app App Branch enhancement rules. Supporting features include personal dictionaries, separate ASR and LLM model routing, local model channels, optional bring-your-own-key (BYOK) remote providers, website accounts, feedback, and software downloads. Parts of the Service are delivered as downloadable software; paid website or cloud-related features, when offered, are digital online services.

2.2 Nature of the Service

Paid digital features are intangible products. Access is activated immediately after payment is confirmed. Because of this immediate delivery, refunds are subject to the limitations in Section 7.

2.3 Third-party AI model dependency

Depending on your configuration, the Service may use on-device models and/or third-party AI model providers you enable (for example OpenAI, Anthropic, Google, and other ASR/LLM providers via BYOK). Performance and availability may be affected by those providers. Material Voxt-side interruptions will be communicated to users when reasonably practicable. BYOK usage is also subject to each provider's own terms and pricing.

3. Account Registration

3.1 Account creation

Using certain website features (such as feedback or account settings) requires creating an account with accurate, complete information. You are responsible for safeguarding your login credentials and for all activity under your account. Core local voice input on your Mac does not require a Voxt cloud account, but paid plans, when offered, may require an account to activate entitlements.

3.2 Account security

  • If you discover unauthorized use, contact security@voxt.actnow.dev immediately.
  • Do not share login credentials with any third party.
  • Keep your billing email address current and able to receive notices.

3.3 Organizational accounts

If you register on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

4. Subscription Plans (V1)

We may offer subscription plans to access paid Voxt features (for example cloud-assisted capabilities, higher limits, or other plan benefits described at checkout). Local-first use of the macOS app with local models and BYOK remote providers may remain available without a Voxt subscription, as shown on the website. Current plan details and pricing are available at https://voxt.actnow.dev.

We reserve the right to modify plan features or introduce new plans. Price changes follow Section 5.

5. Billing & Payment (V1)

5.1 Auto-renewal authorization

When you provide a payment method and subscribe to a paid plan, you expressly authorize GuanWei and its payment processor to charge your payment method the applicable subscription fees on the selected billing cycle. That recurring authorization remains in effect until you cancel under Section 6.

Your subscription renews automatically at the end of each billing period unless you cancel. For annual subscriptions, we will send a renewal reminder in advance when required by applicable law or payment rules. Trial-to-paid conversions will also receive notice when required.

5.2 Taxes

Unless otherwise stated, listed prices exclude applicable taxes (including VAT, GST, sales tax, and similar). Where required by law, we will collect and remit applicable taxes, which will be shown at checkout or on the invoice.

5.3 Payment processing

Payment card data is processed exclusively by our PCI-DSS compliant payment processor, Waffo Pancake, or its partner payment networks, and is not stored on Voxt servers. Voxt may retain transaction IDs, billing email, payment status, plan type, amounts, currency, taxes, refunds, and invoice-related records.

6. Cancellation Policy (V1)

6.1 How to cancel

You may cancel a subscription at any time through either:

  • Online (recommended): Account settings → Subscription → Cancel subscription (or the subscription management portal provided at checkout)
  • Email: send a cancellation request from your registered email to cancel@voxt.actnow.dev

Cancellation is confirmed promptly. We aim to send a confirmation email within 10 minutes of a successful cancellation request.

6.2 Effect of cancellation

  • The subscription remains active until the end of the current paid billing period unless the checkout page or applicable law says otherwise.
  • Later billing cycles will not be charged after cancellation.
  • Account data is retained for 90 days after closure or cancellation where applicable, then deleted or anonymized under the Privacy Policy.
  • Uninstalling the local macOS app does not by itself cancel a paid subscription—you must cancel through account settings or the payment portal.

7. Refund Policy (V1)

7.1 General policy

Because paid Voxt features are immediately delivered digital services, subscription fees are generally non-refundable except as listed below, as expressly promised on the checkout page, or as required by applicable law.

7.2 Refundable cases

  • New-subscriber 7-day guarantee: first-time subscribers may request a full refund within 7 days of the first charge if usage has not exceeded 20% of the plan quota shown at checkout.
  • Duplicate charges: verified billing errors resulting in duplicate charges are refunded in full for the incorrectly charged amount.
  • Verified service outages (over 72 hours): prolonged interruptions caused by Voxt server-side issues may receive a proportional refund or an extension.
  • Statutory rights: where applicable law grants withdrawal or refund rights (for example an EU/UK 14-day cooling-off period), those rights are preserved.

7.3 How to request a refund

Email refunds@voxt.actnow.dev with your account email, transaction ID, and reason. We aim to acknowledge within 2 business days and process eligible refunds within 5–10 business days to the original payment method.

7.4 Non-refundable items

  • Fees for a subscription period already used, except under Section 7.2.
  • Annual subscription refund requests made more than 30 days after the initial purchase, except where required by law or Section 7.2.
  • Accounts suspended or terminated for violating these Terms, abusing the Service, fraud, chargebacks, or circumventing limits.
  • Amounts you pay directly to third-party model providers under BYOK arrangements (those are outside Voxt billing).

8. Billing Disputes

If you believe a charge is incorrect, contact billing@voxt.actnow.dev first—before initiating a transaction dispute with your bank. We aim to reply within 2 business days and resolve confirmed billing errors within 5 business days.

9. AI Content & Intellectual Property

9.1 Ownership of outputs

Subject to these Terms, AI content generated from your inputs ("Outputs") belongs to you. You may use Outputs for any lawful purpose within the limits of Section 10.

9.2 License to inputs

By submitting content to the Service ("Inputs"), you grant GuanWei a limited, non-exclusive license solely as needed to provide the Service to you. Without your explicit consent, we will not use your Inputs to train Voxt's own AI models.

9.3 Third-party AI model dependency

The Service may rely on third-party AI model providers, including those you configure via BYOK (such as OpenAI, Anthropic, Google, and others). Outputs may be affected by those providers. We do not guarantee specific output quality and are not responsible for content generated solely by third-party models under your keys.

9.4 Accuracy of AI outputs

AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying Outputs before relying on them.

10. Acceptable Use Policy

10.1 Permitted use

You may use the Service only for lawful purposes consistent with these Terms, including personal productivity, business automation, research, and development.

10.2 Prohibited use

You agree not to use the Service to:

  • Generate illegal, defamatory, harassing, hateful, or fraudulent content.
  • Generate, distribute, or assist in creating deepfakes, including AI synthetic audio, video, or images that impersonate real people or mislead viewers about origin or authenticity.
  • Generate content involving sexualization of minors or otherwise violating child-protection laws.
  • Create malware, phishing content, or tools for cyber attacks.
  • Infringe any third party's intellectual property, privacy, publicity, or other rights.
  • Bypass or interfere with the Service's security features.
  • Resell or sublicense access without prior written approval.
  • Violate any applicable law, regulation, or card-network rule.

10.3 AI-merchant-specific prohibitions

In addition, given the AI nature of the Service, you agree not to:

  • Use Inputs, Outputs, model responses, or derivative data from the Service to train, fine-tune, benchmark, distill, or otherwise develop AI or machine-learning models that compete directly or indirectly with Voxt or GuanWei products.
  • Systematically scrape, extract, or harvest model outputs at scale for any purpose beyond your personal authorized use.
  • Present AI-generated content as the work of a licensed human professional (such as a doctor, lawyer, or financial advisor) in scenarios where harm may result.

11. Data, Privacy & Security

Your use of the Service is governed by our Privacy Policy at https://voxt.actnow.dev/privacy-policy. Payment card data is processed exclusively by our PCI-DSS compliant payment processor (Waffo Pancake) and is not stored on our servers. Account data is typically retained for 90 days after cancellation or deletion, then deleted or anonymized as described in the Privacy Policy.

12. Disclaimers & Limitation of Liability

12.1 Disclaimer

The Service is provided "as is" and "as available," without express or implied warranties, including merchantability, fitness for a particular purpose, or accuracy of AI outputs, except where such warranties cannot be excluded under applicable law.

12.2 AI-generated content disclaimer

AI outputs from the Service may be inaccurate, incomplete, or outdated. Do not use them as legal, medical, financial, or other professional advice. Always verify with a qualified professional before acting on AI content.

12.3 Limitation of liability

To the maximum extent permitted by applicable law, GuanWei is not liable for any indirect, incidental, consequential, special, or punitive damages. Our aggregate liability is limited to the amounts you actually paid to us in the 12 months before the claim arose.

13. Term & Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account if you materially breach these Terms, engage in suspected fraud, or if required by law. If we terminate paid service for reasons other than your breach, unused prepaid portions will be refunded proportionally. You may delete your account at any time by contacting support@voxt.actnow.dev or using available account deletion features.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which GuanWei is established, without regard to conflict-of-law rules, and subject to any mandatory consumer-protection laws that apply to you. Before starting formal proceedings, email legal@voxt.actnow.dev and attempt informal resolution.

15. General Provisions

We may update these Terms at any time. Material changes will be announced at least 14 days before they take effect by email to your registered address when available, and/or by notice on the website or in the app. Continued use after the effective date constitutes acceptance. If any provision is held invalid, the remaining provisions remain in full force. These Terms and the Privacy Policy together form the entire agreement between you and GuanWei regarding the Service.
